1. INTRODUCTION AND ACCEPTANCE

"Business Partners" means universities, colleges, educational institutions, and service providers registered with Mavex Mentr

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirements

Our Services are available to persons above the age of 12 years. However, users under the age of 18 years must be supervised by a parent or legal guardian throughout the registration process and while using our Services. By using our Services, you represent and warrant that you meet these age requirements.

3.2 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for:

All activities that occur under your account

(f) To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Website and Services, third party products and services, or the Internet

(g) To spam, phish, pharm, pretext, spider, crawl, or scrape the Platform or any user data

(h) For any obscene or immoral purpose

(i) To interfere with or circumvent the security features of the Website and Services, third party products and services, or the Internet

(j) To create multiple accounts for fraudulent purposes or to manipulate our matching algorithms

(k) To post chain letters, promote pyramid schemes, or recruit other Users for any network marketing or multilevel marketing businesses

(l) To recruit other Users to join another website, forum, or chat group without our express written permission

(m) To misuse or abuse our communication channels with educational institutions or business partners

We reserve the right to terminate your use of the Website and Services for violating any of the prohibited uses. Additionally, we may report any violations to appropriate law enforcement authorities.

Matching algorithms and proprietary tools

are the exclusive property of Mavex Mentr or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.3 Trademarks

All trademarks, service marks, graphics and logos used in connection with the Website and Services, are trademarks or registered trademarks of the Operator or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Website and Services may be the trademarks of other third parties, including educational institutions and business partners. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any of the Operator or third party trademarks.

By posting, uploading, or submitting any content to the Platform (including your profile, documents, photos, and communications), you grant Mavex Mentr a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with providing and promoting our Services.

13. LIMITATION OF LIABILITY

13.2 Limitation of Damages

To the fullest extent permitted by applicable law, in no event will the Operator, its affiliates, directors, officers, employees, agents, suppliers, business partners, or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, lost opportunities, admission denials, visa rejections, business interruption, loss of anticipated savings, loss of business opportunity, or educational opportunities) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages.

13.3 Maximum Liability

To the maximum extent permitted by applicable law, the aggregate liability of the Operator and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount equal to the greater of one thousand Indian Rupees (₹1,000) or any amounts actually paid in cash by you to the Operator for the Services in the three (3) month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

13.4 Educational Outcomes

We specifically disclaim any liability for:

Admission decisions made by educational institutions
Visa or immigration outcomes
Academic performance or success
Employment outcomes after education
Changes in immigration or education policies
Financial losses related to education decisions

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Operator, its affiliates, Business Partners, directors, officers, employees, agents, suppliers and licensors from and against any and all liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) incurred in connection with or arising from:

(a) Any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content or use of the Website and Services

(b) Any willful misconduct on your part

(d) Your violation of any third party rights, including intellectual property rights

(e) Any disputes between you and educational institutions or other users

(f) Any false or misleading information you provide

This indemnification obligation will survive the termination of this Agreement and your use of the Services.

15. DISPUTE RESOLUTION

15.1 Informal Resolution

If you have any concerns or disputes regarding the Services, you agree to first try to resolve the dispute informally by contacting us at connect@mavexmentrglobal.com. We will attempt to resolve the dispute through good faith negotiations.

15.2 Mediation and Arbitration

If the dispute cannot be resolved informally within thirty (30) days, the parties agree to resolve the dispute through mediation or arbitration in Kochi, Kerala, in accordance with the Arbitration and Conciliation Act, 1996.

16. GOVERNING LAW AND JURISDICTION

16.1 Applicable Law

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of the State of Kerala and the Republic of India, without regard to its rules on conflicts or choice of law.

16.2 Jurisdiction

The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Kochi, Kerala, India, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement.

16.3 International Users

If you are accessing the Services from outside India, you are responsible for compliance with local laws in your jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

17. SEVERABILITY

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable.

If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

18. ASSIGNMENT

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement without our prior written consent. We may assign, transfer, or delegate any of our rights and obligations under this Agreement without restriction.

19. CHANGES AND AMENDMENTS

19.1 Right to Modify

We reserve the right to modify this Agreement or its terms relating to the Website and Services at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, we will revise the "Last Updated" date at the top of this page.

19.2 Notification

For material changes to this Agreement, we may provide notice through:

You remain liable for any obligations incurred before termination
Certain provisions of this Agreement shall survive, including intellectual property rights, disclaimers, indemnification, and dispute resolution

21. ENTIRE AGREEMENT

This Agreement, together with the Privacy Policy and any other legal notices or agreements published by us on the Website, constitutes the entire agreement between you and Mavex Mentr concerning the use of the Website and Services and supersedes all prior agreements and understandings with respect to the same.

22. NO WAIVER

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

24. ACKNOWLEDGMENT

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.
